Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Barnes Alarm Systems, Inc. ("we," "us," "our," or "Company") governing your use of our security system installation, maintenance, and monitoring services and our website at barnesalarmsystems.org (collectively, the "Services").
By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access our website or use our Services.
Definitions
For purposes of these Terms:
- "Customer" means the individual or entity that contracts for Services.
- "Equipment" means security system components, devices, and hardware provided or installed by the Company.
- "Monitoring Services" means 24/7 surveillance and dispatch services provided through our monitoring partners.
- "Premises" means the property where Services are performed.
- "Service Agreement" means the specific contract governing installation and/or monitoring services.
Services
Service Offerings
We provide the following Services:
- Security alarm system installation, maintenance, and repair
- Fire alarm system installation, inspection, and maintenance
- Video surveillance system design and installation
- Access control system installation and management
- Medical alert system provision and monitoring
- 24/7 professional monitoring services
- Consultation and security assessment services
Service Conditions
- Specific Services are subject to separate Service Agreements that outline scope, pricing, and terms.
- Installation Services are performed during business hours unless emergency arrangements are made.
- We reserve the right to refuse Services for any reason, including safety concerns or payment issues.
- Service availability may vary by location and system compatibility.
Customer Obligations
Information and Access
You agree to:
- Provide accurate and complete information when requesting Services
- Provide safe and reasonable access to your Premises for installation and service work
- Ensure an adult (18+) is present during service visits unless prior arrangements are made
- Notify us of any hazards, pets, or special conditions at your Premises
- Obtain any necessary permissions from property owners or HOAs
System Use and Maintenance
You agree to:
- Use Equipment only for its intended purpose and in accordance with manufacturer guidelines
- Maintain your security system as recommended, including battery replacement and testing
- Notify us of any changes to your Premises that may affect system operation
- Not modify, tamper with, or relocate Equipment without our authorization
- Report system malfunctions promptly
Payment
- You agree to pay all fees as outlined in your Service Agreement.
- Payment is due upon receipt of invoice unless other terms are specified.
- Late payments may incur late fees and/or suspension of Services.
- Installation fees are typically due upon completion unless otherwise agreed.
- Monitoring fees are billed in advance on a monthly or annual basis.
Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of Barnes Alarm Systems, Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.
Warranties and Disclaimers
Equipment Warranty
- Equipment provided by us is covered by manufacturer warranties, which vary by product.
- We provide a workmanship warranty for installation services as specified in your Service Agreement.
- Warranties do not cover damage caused by misuse, unauthorized modifications, acts of nature, or failure to maintain the system.
Service Limitations
- Security systems are designed to reduce risk but cannot guarantee prevention of loss, damage, or harm.
- Alarm systems may fail to operate correctly due to power outages, telephone/network failures, equipment malfunction, or other circumstances beyond our control.
- Monitoring Services depend on functional communication systems and may be affected by circumstances beyond our control.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN WRITING, ALL SERVICES AND EQUIPMENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE CLAIM.
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.
- WE SHALL NOT BE LIABLE FOR ANY LOSSES RESULTING FROM FAILURE OF ALARM OR MONITORING SERVICES, INCLUDING BUT NOT LIMITED TO THEFT, FIRE, PROPERTY DAMAGE, BODILY INJURY, OR DEATH.
Indemnification
You agree to indemnify, defend, and hold harmless Barnes Alarm Systems, Inc., its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from:
- Your breach of these Terms or your Service Agreement
- Your use of the Services or Equipment
- Your violation of any law or third-party rights
- False alarm activations resulting from your actions
Monitoring Services
Monitoring Agreement
Monitoring Services are governed by a separate Monitoring Agreement that includes additional terms regarding:
- Response procedures and dispatch protocols
- Emergency contact information and notification procedures
- False alarm policies and potential fines
- Term, renewal, and cancellation provisions
False Alarms
- You are responsible for responding to alarm activations and providing proper codes/words to cancel dispatch.
- Excessive false alarms may result in suspension of dispatch services or additional fees.
- You are responsible for any false alarm fines imposed by local authorities.
Term and Termination
Service Agreement Term
- Installation Services are generally one-time engagements.
- Monitoring Services typically have an initial term (12-36 months) with automatic renewal.
- Refer to your specific Service Agreement for term details.
Termination
- You may cancel Monitoring Services as provided in your Service Agreement, which may require written notice and may be subject to early termination fees.
- We may terminate Services for breach of these Terms or your Service Agreement, with reasonable notice where required.
- We may terminate Services immediately in cases of non-payment, fraud, or abuse.
Effects of Termination
- Upon termination of Monitoring Services, we will notify our monitoring partner to discontinue surveillance.
- Outstanding fees become immediately due upon termination.
- Sections regarding warranties, liability limitations, indemnification, and general provisions survive termination.
User-Generated Content
If you submit reviews, testimonials, or other content through our website:
- You grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content.
- You represent that you have the right to submit such content and that it does not violate any third-party rights.
- We may remove or decline to publish any content at our discretion.
Privacy
Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.
Third-Party Services

Dispute Resolution
Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
Arbitration
Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in Monroe County, Florida, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator's decision shall be final and binding.
Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class action, consolidated action, or representative action.
General Provisions
- Entire Agreement: These Terms, along with applicable Service Agreements and policies, constitute the entire agreement between you and us.
- Amendments: We may amend these Terms by posting updated Terms on our website. Continued use of Services constitutes acceptance of amendments.
- Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
- No Waiver: Failure to enforce any right does not constitute waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent.
- Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
